1. Overview
This Agreement (“Agreement”) outlines the terms and conditions under which SpotLight Media Pro LLC dba LocalPro (“Company”) provides access to its AI Employee™ Setup Service, CRM platform (“GroHub”), and connected systems including CallBoss and related integrations (collectively, the “Services”).
By purchasing or using the Services, you (“Client”) agree to these terms in full.
2. Service Description
LocalPro provides a done-for-you AI Employee™ setup within the GroHub CRM system (a white-labeled version of GoHighLevel).
Your AI Employee includes configuration of:
Call, SMS, and email automations
Appointment booking integrations
Custom voice or chat AI setup
Basic training and support
Setup is typically completed within 3–5 business days.
Note: Text messaging features may require up to 2 weeks for A2P registration approval before activation.
3. Payment Terms
Setup Fee: Due at time of purchase and non-refundable.
Subscription Fee: $197/month billed automatically each month.
Usage-Based Fees:
Voice Calls: $0.09 per minute
Text Messages: $0.03 per message
System Phone Numbers: $3.50/month each
Two phone numbers are required: One for voice, one for texting
Subscription and usage fees are billed automatically to the payment method provided at signup.
4. Refund Policy
Setup fees are non-refundable.
If Client is unsatisfied with the service within the first 30 days, LocalPro will refund the first month’s subscription payment upon written request to [email protected].
No refunds will be issued after the first 30 days or for usage-based fees.
5. Term & Cancellation
This Agreement begins upon payment and continues month-to-month until canceled.
Client may cancel at any time by submitting written notice to [email protected] at least 3 business days before the next billing date.
Upon cancellation, access to the GroHub CRM, AI Employee™, and related systems will be revoked immediately.
6. Client Responsibilities
Client agrees to:
Provide accurate business details (name, website, etc.) for AI setup.
Maintain an active payment method on file.
Use the Services in compliance with applicable laws, including TCPA and A2P messaging regulations.
Obtain any necessary permissions from customers or leads before sending automated messages.
LocalPro is not responsible for misuse or violations resulting from Client’s actions or data.
7. System Usage & Data
LocalPro uses integrations powered by GoHighLevel, Twilio, and third-party AI services.
By using the Services, Client grants permission for LocalPro and its vendors to transmit, process, and store data for the purpose of delivering the Services.
Client retains ownership of their CRM data but acknowledges that deletion of the account will result in permanent data loss.
8. Disclaimer of Warranties
The Services are provided “as-is” without any warranties of performance or specific results.
LocalPro does not guarantee increased sales, bookings, or revenue as a result of using the Services.
9. Limitation of Liability
In no event shall LocalPro, its officers, or affiliates be liable for indirect, incidental, or consequential damages arising out of or in connection with this Agreement.
Total liability shall not exceed the total amount paid by Client within the past three (3) months.

11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles.
12. Acceptance of Terms
By purchasing, accessing, or using LocalPro’s AI Employee™, GroHub CRM, or related services, the Client acknowledges they have read, understood, and agreed to be bound by this Agreement.
13. Intellectual Property & Usage Rights
All marketing materials, sales pages, funnel templates, advertisements, videos, scripts, and creative assets provided by SpotLight Media Pro LLC dba LocalPro (“LocalPro”) are and shall remain the exclusive intellectual property of LocalPro.
Clients are granted a non-exclusive, revocable license to use these materials only while maintaining an active subscription to LocalPro’s services.
Clients may not:
Reproduce, resell, or redistribute any funnels, pages, ads, or templates.
Claim ownership of creative assets, designs, or copy created by LocalPro.
Use these assets if their subscription is canceled, suspended, or terminated.
Upon cancellation or termination, all rights to use LocalPro’s intellectual property immediately revert to LocalPro, and the Client must discontinue any further public or private use of these materials.
LocalPro retains all copyright, trademark, and creative ownership of its brand assets, training materials, and proprietary systems, including but not limited to: GroHub™, CallBoss™,, .
